RAND WATER BOARD CHARTER The Board has adopted an appropriate Board Charter, has regulated its affairs in compliance with this charter and is satisfied that it has discharged its responsibilities contained therein. The members collectively understand their roles and responsibilities, as outlined in the Board Charter and the Water Services Act, No. 108 of 1997. The Board Charter is reviewed every two (2) years, or as and when legislative, policy and regulatory developments dictate. RAND WATER BOARD COMPOSITION The current Board of Directors of Rand Water comprises 12 Non-Executive Members, including the Chairperson and Deputy Chairperson, and one (1) Executive Member, being the Group Chief Executive. The current Board Term became effective as of 21 September 2022. However, not all Board Members were appointed at the same time. In terms of Schedule 1 of the Water Services Act, members will serve a term not exceeding four (4) years. The Board is serving the third year of the current four-year term. For the financial year under review, the Board appointed an independent Non-Executive Member of the Group Audit and Risk Committee (GARC). The Board further reviewed its governance committees and made the following rotations: • Mr. Anthony Mhlongo retired as a TCIC Member w.e.f. 29 November 2024 and was appointed as an HR&REMCO Member w.e.f. 29 November 2024 to 21 September 2026. • Mr. Luvuyo Ntoyi retired as a HR&REMCO Member w.e.f. 29 November 2024 and was appointed as a Board Member of Rand Water Foundation representing Rand Water, w.e.f. 29 November 2024 to 21 September 2026. • Ms. Moleboge Lekwane appointed as a HR&REMCO Member representing the Rand Water Foundation, w.e.f. 29 November 2024 to 31 July 2025. • Ms. Vuyokazi Menye appointed independent member with ICT expertise on 01 September 2024. • Ms. Phindile Mbanjwa appointed as the representative of the Rand Water Foundation effective 29 October 2024 – 21 September 2026. • Ms. Lusanda Netshitenzhe, Rand Water Foundation Board Chairperson, retired as the Rand Water Foundation representative effective 29 October 2024. • Mr. Linda Mngomezulu appointed by the Rand Water Board in line with section 35 of the Water Services Act No. 108 of 1997, effective 01 August 2024 to 31 July 2028. These rotations aim to enhance the effectiveness of our governance framework and uphold our commitment to transparency and accountability. HOW BOARD MEMBERS ARE APPOINTED Section 28 (1) of the Water Services Act empowers the Minister to establish a Water Board and to appoint members of the Water Board. Schedule 1 of the Water Services Act regulates the terms of office of Board Members, the procedure for the recommendation of persons for appointment as Chairperson or Board Members and the termination of office of Board Members. “A Member of a Water Board is appointed for a period of office determined by the Minister, which may not exceed four (4) years. A Member of a Water Board may be reappointed. Reappointment is limited to three (3) consecutive terms of office”. • The Minister may request a Water Board to constitute a selection panel to recommend persons for appointment as Members of a Water Board. If the Minister has done so, the Chief Executive of the Water Board must publish a notice calling for nominations in two (2) media of his or her choice, generally accessed within the Water Board’s service area. • A Water Board must timeously constitute a selection panel, having regard to race and gender, to make recommendations from nominations received, to the Minister for appointment. Schedule 1 of the Water Services Act stipulates that: •
