• Recommended to the Board for approval; » Quarterly Group Performance Reports to be submitted to the Shareholder in line with the key performance indicators and performance targets as agreed to in the Annual Shareholders’ compact. » Unaudited interim financial statements for the period ended 30 June 2023 for submission to the Johannesburg Stock Exchange in compliance with the Debt Listings Requirements. » Statutory reports required in terms of section 52 of the PFMA and National Treasury Regulations, such as the budget and 5-year business plan, Annual Shareholder’s Compact, Borrowing Plan, CAPEX Plan (in as far as it impacts the financial sustainability of the Group) for submission to the relevant statutory authorities. » Audited consolidated annual financial statements for the period ended 30 June 2023 for submission to National Treasury and the executive authority. » Annual Strategic Risk Register for the Group. » Key assurance and Risk Related policies for the Group. • Approved the appointment of independent assurance providers for the Group. • Approved the Internal Audit Plan and Charter for the FY 2022 - 23. • Monitored the implementation of the Road Map to Clean Audit project and Audit Response Plan. • Considered and monitored the IT strategy and cybersecurity.

• Approved the re-configuration and amalgamation of some of the Board Committees to ensure, inter alia , that there were no overlaps in the mandates of the various Board Committees. • Conducted a comprehensive review of the Board Committee structure. The objective was to align the committees with the organisation’s strategic priorities and enhance their effectiveness. As a result, adjustments were made to Committee mandates and new members were appointed to better leverage their expertise. • In line with our commitment to fostering collaboration and knowledge sharing, the Nominations Committee nominated the Chief Operations Officer to serve on the Board of Directors of Rand Water Services (Pty) Ltd (RWS) a previous dormant subsidiary of Rand Water which has since been revived. The re-establishment of RWS as a trading entity, will strengthen our ability to service Rand Water Stakeholders and to facilitate mutual growth and development in our area of supply. • Recognising the importance of ethical conduct and corporate responsibility, the Nominations Committee nominated the Chairperson of the Rand Water Foundation to be a member of the Social and Ethics Committee. This would ensure a holistic approach to our corporate social responsibility mandate and will allow for a proper interface between Rand Water and the Rand Water Foundation as the social responsibility arm of the Group. • Revised Terms of Reference (ToRs) and developed Annual Work Plan to guide the Committee in the discharge of its mandate and responsibilities. • Recommended co-option of an independent Information Technology specialist as a member of the Group Audit and Risk Committee (GARC), to assist the GARC in overseeing IT governance.
